Delta Consultants Expands Global Platform Through Acquisition By Dutch Consulting Firm

ST. PAUL, MINN. JAN. 11, 2008

OranjewoudDelta Consultants, a U.S. environmental, safety and sustainability consulting firm announced it has been acquired by Oranjewoud, a Netherlands-based environment, safety and engineering consulting firm.

Both firms are part of the Inogen Alliance, a global corporation formed by a network of environmental, health, safety and sustainability consulting firms to provide multinational organizations with consistent, high quality and cost-effective environmental, health and safety solutions. As partners in Inogen, Delta and Oranjewoud shared resources and technology to serve joint clients. The acquisition allows the combined company to establish a larger anchor for this global alliance and to offer a more cohesive approach for clients at the multi-national level.

Founded in 1986, Delta built a solid reputation as a solutions provider in the areas of environmental, health & safety and sustainability consulting for the petroleum, manufacturing, specialty chemical and forest products markets. In over 20 years, the company grew to more than 700 employees with more than 45 offices around the country. “Delta’s strong U.S. coverage provides a complementary footprint for Oranjewoud in the U.S. market without organizational overlap,” says Gerard Sanderink, CEO and majority owner of Oranjewoud.

“Joining forces with Oranjewoud positions us to better achieve our company’s aspirations by leveraging synergies in the areas of environmental and safety consulting to build a stronger global platform. We look forward to working together, as leaders in our respective countries, to provide our clients with innovative solutions and an exceptional level of service,” says Bob Karls, Delta Chairman and CEO.  This integration will create a multi-national environment and safety consulting division with more than 1,200 employees, resulting in opportunities for our team members, a larger Associate for the Inogen Alliance, and broader capabilities for our clients.

Karls, along with Kris Van Malderen, Director of Oranjewoud’s Netherlands, Belgium and France Environment & Safety Division, will be joint CEOs/Managing Directors of the combined Environment and Safety Division created by the acquisition.

Oranjewoud N.V., a leading consultancy and engineering firm in the Netherlands, Belgium and France, employed approximately 2,400 full time staff prior to its acquisition of Delta. Total employees now number more than 3,000.  The company offers high quality services in the broad areas of infrastructure, urban development, construction, the environment, safety and compliance, real estate issues and sports and leisure facilities. Oranjewoud provides services for the entire project chain: from the planning stage to advice, design and supervision to contracting, management and operation.  Oranjewoud N.V. acquired all shares of Delta Consultants through its new US-based subsidiary Inogen Global Holding, Inc.  Delta will continue to operate as Delta Consultants.  Oranjewoud N.V. is listed on the official market of Euronext NV in Amsterdam, The Netherlands.

Delta Consultants Honored by Minnesota Pollution Control Agency

BP’s Spring Valley Terminal Receives Certificate of Commendation

St. Paul, Minnesota – May 10, 2007 – The Minnesota Pollution Control Agency (MPCA) has awarded a Certificate of Commendation to BP’s Spring Valley Terminal and its wastewater treatment consultant, Delta. The honor recognizes exemplary efforts during 2006 in complying with the MPCA’s permit program to protect and preserve Minnesota waters.
BpFrank Olivarri, the Spring Valley Terminal Manager, and Jared Otto, Project Manager, Delta Consultants, accepted the commendation at the Minnesota Pollution Control Agency’s 70th Annual Wastewater Operators Conference on March 29, 2007. Delta operates the terminal’s groundwater remediation system.

The terminal supplies unleaded gasoline, diesel fuel, and other refined petroleum products to southern Minnesota, northern Iowa and west-central Wisconsin. It handles wastewater from a number of waste streams, including storm water from loading and unloading areas, precipitation that accumulates related to petroleum storage, and parking lot storm water runoff. Each waste stream has its own treatment requirement.

Located in southeastern Minnesota outside the town of Spring Valley, the terminal receives the petroleum products through a pipeline from BP’s Whiting Refinery and stores them in nine above-ground storage tanks.

Karls Named as Delta’s CEO

Bob Karls, founder and 21-year employee,
accepts position as President and CEO.

St. Paul, Minnesota – April 6, 2007 Delta Consultants’ Board of Directors has named Robert M. (Bob) Karls as President and CEO of Delta. Karls began his term on April 3, 2007, upon the resignation of Paul Goudreault, Delta’s CEO since 1999.

Bob Karls, President and CEO“ During Goudreault’s tenure,” says Karls, “Delta has grown in services, client diversification and geographic reach. I am proud to have worked with him all these years and look forward to our continued association.”

Goudreault’s leadership more than doubled Delta’s revenue and dramatically increased the ESOP share value. He also saw Delta through four acquisitions and was a leader in the development and implementation of Inogen.

Goudreault will still be actively engaged at Delta as a senior consultant and account manager, as well as continuing as the Chairman of Inogen.

“Delta is a great company because we have great, hardworking, creative and loyal employees who truly value solving our clients’ business problems,” says Karls. “I look forward to continuing this journey with Delta and seizing the opportunities we have ahead of us.”

DELTA CONSULTANTS Receives Patent for New Biodegradation Process

St. Paul, Minnesota – January 4, 2007 - Delta Consultants has been awarded Patent No. 7,138,060, titled “In Situ Remediation of Contaminated Groundwater.” This patent is for a process utilizing unusually high concentrations of Magnesium Sulfate to stimulate biodegradation.

Delta applied the technology at 70 petroleum-contaminated study sites. Results indicated significantly faster biodegradation of particular petroleum compounds, even at sites where other remedial methods were already implemented.

In conducting the study, Delta built upon the already proven practice of applying additional electron acceptors to groundwater to expedite bioremediation. However, traditional applications have focused on increasing oxygen levels and limited increases in sulfate. Delta’s application differed in that much higher concentrations of sulfate were applied - typically in the 150,000 mg/l range, versus historical application levels in the 250 mg/l range (EPA Secondary Drinking Water Standard).

In the past, Delta typically has not chosen to pursue patents on many of the good ideas it has developed to solve clients’ problems. “The sulfate process we developed is different,” says Bob Karls, Chairman. “It’s an application that we have seen provide very good results for our clients, and was different enough to merit consideration to pursue a patent.”

Delta’s operations groups will consider sulfate technology, along with other remedies, when doing alternatives analyses. “We feel that the ability to use this technology may be a good solution for many of our clients’ sites,” Karls explains.

Additional information about Delta’s Patent can be viewed on the US Patent website at: www.uspto.gov

Any questions about potential applicability of this technology should be directed to Jim Cuthbertson at (248) 699-0259 or by email at jcuthbertson@deltaenv.com.

The Zweig Letter* has ranked Delta #37 on The Hot Firm 2005 List of the 100 Fastest-Growing A/E/P and Environmental Consulting Firms in the U.S.

The 100 firms profiled were named to The Zweig Letter Hot Firm 2005 List for not only surviving economic instabilities over the past few years, but for growing in the process— some doubling, or even tripling, their gross revenue from 2001 to 2004.

This year is the sixth in a row that The Zweig Letter has ranked the fastest-growing architecture, engineering, and environmental consulting firms. The process was begun in early March with a nationwide call for industry firms to complete a short entry form with questions about their firm type, size and 2001 and 2004 gross revenues. The revenue figures were verified using financial statements or income tax returns reviewed by third parties.

The Zweig Letter Hot Firm 2005 List was created to identify the fastest-growing A/E/P and environmental firms in the United States. As with past years, hundreds of firms competed for the top 100 spots.

Delta Receives Recognition for Preservation Work

Those seeking to preserve historic Civil War battlefields need to manage their landscapes and wildlife responsibly in order to maintain these resources for future generations.

The Civil War Preservation Trust (CWPT) recently gave recognition of Delta’s donation toward managing the CWPT’s historic properties. Delta donated Phase I assessment work for CWPT’s planned acquisitions to ensure among other things, that there are no environmental concerns associated with the property. Such concerns can range from illegal dumping to hazardous waste contamination on the property.

CPWT issued a special thank you to Keith Knoke, Project Manager with Delta, in the Spring 2003 issue of Hallowed Ground, the magazine of historic Civil War sites. Mr. Knoke has made several trips to perform work at such sites as Harpers Ferry, West Virginia; Mine Run, Virginia; Hatcher’s Run, Virginia; and Gaines’ Mill, Virginia.

“Why preserve Civil War battlefields? Because they define us as a nation. The Civil War was fought on American soil on a massive scale. We live among its battlefields and monuments. We still sing its songs, read books and see movies about it. Our headlines still grapple with issues of racism and state’s rights that sparked the war in the first place. The legacy of the war is still with us. For us to appreciate the present and dream of the future, we must understand our past.”
